MilkMate Employee Referral Program
Official Terms and Conditions
Effective Date: March 6, 2026
These Employee Referral Program Terms and Conditions (the “Terms”) govern participation in the MilkMate Employee Referral Program (the “Program”) offered by MilkMate, Inc. (“MilkMate,” “Company,” “we,” “us,” or “our”).
By participating in the Program, you (“Referrer,” “you,” or “your”) agree to be bound by these Terms.
1. Program Overview
The Program allows eligible individuals to receive a referral reward in connection with introducing MilkMate to their employer, subject to the eligibility requirements and conditions set forth below. The Program is void where prohibited by law.
2. Eligibility
An eligible Referrer must:
(a) be at least eighteen (18) years of age;
(b) be a current employee of the Eligible Employer at the time the Referral Email (as defined below) is sent;
(c) be legally permitted to receive incentive payments under applicable law and employer policies; and
(d) comply with these Terms in full.
Participation is voluntary and Referrer is responsible for ensuring compliance with employer policies and applicable law.
3. Definition of Eligible Employer
An “Eligible Employer” must:
(a) employ no fewer than 2,000 employees and/or have potential for a minimum installation of three (3) MilkMate rooms;
(b) not be an active sales opportunity in MilkMate’s CRM at the time the Referral Email is sent by the Referrer;
(c) not have previously engaged in written communications referencing the Program; and
(d) not have been in active commercial discussions with MilkMate within the previous six (6) months.
MilkMate retains sole discretion to determine eligibility.
4. Qualifying Referral Requirements
To qualify for a Referral Reward:
(a) Referrer must send an original email (“Referral Email”) to a decision-maker in Workplace Experience, Corporate Real Estate, Facilities, or Human Resources;
(b) The Referral Email must introduce and recommend MilkMate and include MilkMate via copy or direct introduction;
(c) The Referral Email must initiate the first introduction; and
(d) The Eligible Employer must sign a fully executed annual agreement (the “Referral Agreement”) for a minimum of one room installation (with a future potential of three (3) MilkMate room installations) in form and substance acceptable to MilkMate.
MilkMate will determine qualification in its sole discretion.
5. Referral Reward
Eligible Referrer will receive a one-time payment of $1,000 USD (“Referral Reward”).
The Referral Reward is issued only after:
(a) Purchase Order between MilkMate and Eligible Employer is executed;
(b) installation completion; and
(c) MilkMate’s receipt of payment from the Eligible Employer.
Payments are made via check or ACH. Referrer is responsible for all applicable taxes.
6. Limitations and Restrictions
(a) One reward per Eligible Employer;
(b) If multiple referrals occur, MilkMate determines eligibility based on timing and compliance;
(c) Self-referrals are prohibited;
(d) Retroactive referrals are not eligible; and
(e) The Program cannot be combined with other incentive programs unless authorized in writing.
7. Compliance and Ethics
Referrer represents that Referrer’s participation in the Program does not violate employer policy, create conflicts of interest, or violate applicable law. MilkMate may deny payment of the Referral Reward if concerns arise regarding compliance under this Section
8. Reservation of Rights
MilkMate may modify, suspend, or terminate the Program at any time and determine eligibility of Referrers and Eligible Employers in its sole discretion.
9. No Agency Relationship
Participation does not create any partnership, employment, or agency relationship. Referrer has no authority to bind MilkMate.
10. Limitation of Liability
In no event will MilkMate be liable to Referrer or to any third party for any consequential, incidental, indirect, exemplary, special, or punitive damages whether arising out of breach of contract, tort (including negligence), or otherwise, regardless of whether such damage was foreseeable and whether or not MilkMate has been advised of the possibility of such damages. No guarantee is made that any Referral Email will result in a Referral Agreement.
11. Governing Law
These Terms shall be governed by the laws of the State of Delaware without regard to conflict of law principles.
